Bleap Cardholder Terms (EEA)

Important notice: Please read these Card Terms carefully. They include provisions that affect your rights and obligations, including disclaimers, limits on liability and your responsibilities. Your Card is non-custodial in design and can be linked only to your Bleap Wallet. By onboarding to the Card and each time you use the Card by any means, you provide a direct debit mandate authorising Bleap and Unlimit to debit your linked Bleap Wallet to settle transactions, applicable Mastercard® scheme/network fees, reversals and shortfalls. We do not charge any Bleap card fees (Cards are free; no issuance, monthly, usage or exchange fees). Mastercard scheme, network/FX rates, merchant or ATM fees and taxes may still apply.

‍Self-custody and insolvency: Your Card is non-custodial and can be funded only from your Bleap Wallet (which you control). Neither Bleap nor Unlimit holds your wallet assets. If either Bleap or Unlimit becomes insolvent, your Bleap Wallet assets remain unaffected. Card transactions may involve transient processing flows (e.g., authorisations, settlements and reversals) but no ongoing customer balance is held by Bleap or Unlimit on your behalf.

Glossary

Capitalised terms shall have the meanings assigned to them in these Terms, unless the context requires otherwise.

“App” means the Bleap mobile or web application.
‍
“Bleap” / “we” / “us” / “our” means Bleap Finance Sp. z o.o., a company incorporated in Poland (DOMANIEWSKA, nr 37, lok. 2.43,WARSZAWA, 02-672, Poland).
‍
“Bleap Wallet” means your self-custodial/account-abstraction smart account supported by Bleap (you control the private keys).
‍
“Business Day” means a day (other than Saturday, Sunday or public holiday) on which banks in Poland are open for business.
‍
“Card” means your Mastercard debit card issued under this Agreement (including any replacement or tokenised versions).
‍
“Direct Debit Mandate” has the meaning in Clause 6 (Direct debit mandate).
‍
“EEA” means the European Economic Area.
‍
“Fees” means any fees, charges, costs, taxes and network or scheme fees applicable to Card activity.
‍
“Mastercard” means Mastercard International Incorporated and its scheme.
‍
“Safeguarded Funds” means e-money held by the Issuer and safeguarded in accordance with applicable electronic money regulations.
‍
“Services” means the issuance and use of the Card and related features described in these Terms.
‍
“Unlimit” / “Issuer” means Unlimit EU Ltd (company number HE 328641), 125 Griva Digeni, Limassol 3101, Cyprus, licensed and regulated by the Central Bank of Cyprus as an electronic money institution, which issues your Card and e-money.

1. Introduction

1.1 Contracting entity and scope

These Card Terms govern your access to and use of the Bleap card programme (the Card Services) provided under Bleap Finance Sp. z o.o. (“Bleap”, “we”, “us”, “our”), a company incorporated in Poland under company number 526782047, with registered office at DOMANIEWSKA, nr 37, lok. 2.43,WARSZAWA, 02-672, Poland. 

Cards and e-money services are provided and issued by Unlimit EU Ltd, company number HE 328641, registered at 125 Griva Digeni, Limassol 3101, Cyprus. Unlimit is licensed and regulated by the Central Bank of Cyprus as an Electronic Money Institution. 

By applying for, activating or using a Card, you agree to these Card Terms in addition to: (i) the Bleap Wallet terms (governing your non-custodial Bleap Wallet), (ii) the Bleap Finance Terms and (iii) Unlimit’s general and card terms (issuer terms). Where features intersect, these Card Terms govern the card component, your Wallet terms govern the Wallet, Bleap Finance’s terms govern exchanges and Unlimit’s terms govern issuer/EMI obligations. 

1.2 Relation to Bleap Wallet and Bleap Finance terms

These Terms are in addition to (and do not replace) the Bleap Wallet Terms or the Bleap Finance Terms applicable to other services and the Unlimit issuer terms, which also apply to your Card and e-money.

Where there is a conflict about issuance or safeguarding, the Unlimit terms prevail; for programme, wallet linkage and App functionality, these Terms prevail.

1.3 Formation of contract and important warnings

By using the Services, you confirm you have read and accept these Terms, Risk Disclosure, Price Disclosure and the Privacy Policy.

If any part is unacceptable, do not use the Services.

1.4 Regulatory notice

The Card Services enable use of a Mastercard® debit card exclusively for your self-custodial Bleap Wallet via your direct-debit authorisation. Bleap Finance Sp. z o.o. provides the card programme and App. Bleap does not issue e-money, operate payment accounts, hold client assets or private keys, or provide custody, brokerage, portfolio management, investment advice, legal advice or tax advice. The Card is issued by Unlimit EU Ltd, an Electronic Money Institution authorised by the Central Bank of Cyprus; issuer activities are governed by Unlimit’s General and Card Terms. Your Bleap Wallet remains non-custodial at all times: you control the private keys and assets are not held by Bleap or Unlimit. The Card is not a credit facility. Acceptance, features and availability may vary by jurisdiction, merchant and network and may change for legal, regulatory or risk reasons. Nothing in these terms constitutes advice or a recommendation.

1.5 Consumer rights

Nothing in these Terms excludes or limits rights that cannot lawfully be excluded under applicable law.

2. Scope of the Card Services

2.1 What these terms cover

These Card Terms govern the provision and use of the Card and Card-related functionality made available in the App. Bleap cards are 100% non-custodial powered by account abstraction. The issuing of these cards is subject to eligibility and Bleap reserves the right to terminate this service at all times.

2.2 Included features

Subject to eligibility and verification, you may:

  • obtain and use a Mastercard debit card wherever accepted;
  • authorise card transactions and, by doing so, authorise a Direct Debit from your Bleap Wallet for the transaction amount and permitted charges;
  • manage the Card (including freeze/unfreeze) and view transactions in-App; and
  • access ancillary features we make available (e.g., card replacement, spend controls).

2.3 Out of scope

The Card Services do not:

  • create a payment account or e-money account with Bleap;
  • permit linkage to any non-Bleap wallet or any other funding source;
  • change the non-custodial nature of your Bleap Wallet; or
  • guarantee acceptance by any specific merchant, ATM, acquirer, or network at any time.

2.4 Territorial scope

Availability is limited to countries we support (currently the EEA and Switzerland, subject to exclusions and sanctions lists). We may add or remove territories for legal, regulatory or risk reasons.

3. Eligibility and Onboarding

3.1 Age/residency

You must be 18+, resident in a supported territory (currently the EEA or Switzerland, subject to Clause 5.3), and pass our and Unlimit’s KYC checks.

3.2 Verification

You must complete KYC and any ongoing checks as required by us or Unlimit. Information you provide must be accurate and kept up-to-date.

3.3 Restricted nationalities

In accordance with applicable regulatory and compliance requirements, card issuing is restricted to users who meet specific criteria and complete the necessary identity verification. By completing card verification you agree with the card terms. We are unable to issue cards to users who either:

  • reside outside the EEA or Switzerland, or
  • hold nationality of the following countries, regardless of residence:  Afghanistan, Albania, Barbados, Burkina Faso, Burundi, Cameroon, Cayman Islands, Central African Republic, Congo (the Democratic Republic of the), Cuba, Haiti, Iran (Islamic Republic of), Iraq, Jamaica, Jordan, Kosovo, Lebanon, Libya, Mali, Morocco, Myanmar, Nicaragua, Nigeria, Pakistan, Panama, Philippines (the), Somalia, South Africa, South Sudan, Sudan (the), Syrian Arab Republic, Tanzania (United Republic of), Trinidad and Tobago, Turkey, UA-Occupied, Uganda, United Arab Emirates (the), United States of America (the), Vanuatu, Venezuela (Bolivarian Republic of), Viet Nam, Western Sahara, Yemen, Zimbabwe.

3.4 Refusal

We and/or Unlimit may refuse to issue or may suspend/terminate a Card where lawful, including for risk, compliance or operational reasons.

4. Wallet and Funding

4.1 Bleap Wallet only

The Card will be linked to your Bleap Wallet. It cannot be linked to any other wallet or funding source.

4.2 Non-custodial

Your Bleap Wallet is non-custodial. You control the private keys. Assets are not held by Bleap or Unlimit.

4.3 Direct Debit authorisation

By onboarding to the Card and each time you use the Card (physical, virtual, tokenised, in-app, online, contactless or card-on-file), you expressly and irrevocably authorise Bleap and Unlimit to initiate and collect a Direct Debit from your linked Bleap Wallet for: 

  • the transaction amount.
  • any applicable Mastercard/network charges levied on that transaction.
  • any chargebacks, reversals and shortfalls related to Card activity.

You acknowledge the mandate operates via your Bleap Wallet’s smart-account permissions. If a permission is removed or fails, transactions may be declined until you re-authorise in-App.

4.4 Sufficient balance

You must maintain sufficient assets in your Bleap Wallet to cover transactions and any applicable scheme/network charges. If insufficient, the transaction may be declined.

4.5 No stored e-money at issuer

Card spending draws directly from your non-custodial Wallet via Direct Debit for settlement. No customer e-money balance is held for you by Unlimit in connection with Card usage. Where Unlimit processes settlement under scheme rules, such processing does not create a stored balance for you at Unlimit.

5. Using the Card

5.1 Where you can use it

Use your Card at merchants and ATMs that accept Mastercard (subject to local restrictions and merchant/acquirer readiness). ATM withdrawals (if available in your territory) are subject to network/operator availability and posted limits. Operator surcharges may apply and are your responsibility.

5.2 Authorising transactions and Tokenisation

You authorise a Card transaction by presenting the Card or card number and following the merchant’s authentication flow (e.g., PIN, contactless, 3-D Secure, biometric or device-level controls). Each authorisation also confirms your Direct Debit consent under Clause 6.3. 

When you add the Card to a wallet or tokenised service, its provider’s terms apply in addition to these Card Terms. Use of such services constitutes authorisation of the underlying Card transaction and confirms your Direct Debit consent under Clause 6.3.

5.3 Freezing the Card

You can freeze/unfreeze your Card in the App at any time. Freezing prevents new authorisations; it may not stop transactions already authorised.

5.4 Declines and suspensions

We or Unlimit may decline, suspend or delay authorisation if:

  • required by law or sanctions;
  • there are insufficient Wallet funds;
  • risk or fraud indicators trigger;
  • you breach these terms or Unlimit’s terms; or
  • limits are exceeded.

5.5 Limits

We may apply and change reasonable per-transaction, daily, weekly, monthly or lifetime limits. Current limits are shown in-App.

5.6 Pre-authorisations

Some merchants (e.g., hotels, car hire) may request a higher pre-authorisation to cover service charges/gratuities. The unused portion is released by the merchant’s acquirer; timing varies.

Similarly, certain merchants may request a lower pre-authorisation, with the total amount subsequently adjusted; you hereby authorise us to proceed with the amount correction. This may result in a negative (overdrawn) balance, and your account may be suspended until the outstanding balance is settled.

5.7 Card expiry & replacement

Cards expire on the date shown on the Card (or in-App for virtual). We may issue a replacement before expiry. Freezing or expiry does not affect transactions already authorised.

5.8 Prohibited uses 

You must not use the Card for unlawful activity, sanctions-restricted dealings, or for prohibited categories we or Mastercard publish from time to time (including certain cash-like transactions), except where expressly permitted. We may decline or reverse such transactions.

6. Fees, FX and Pricing

6.1 No Bleap card fees

Cards are free. Bleap charges no issuance, monthly, usage or exchange fees for Card activity.

6.2 What may still apply

Mastercard scheme fees, network FX rates, merchant surcharges, ATM operator fees and government taxes may apply and are your responsibility. Where charged via the scheme, these amounts are included in the Direct Debit from your Wallet.

6.3 Currency conversion

If you transact in a different currency, the amount is converted at the Mastercard network rate applicable at processing time. Bleap adds no FX markup or fee.

7. Security and Responsibility

7.1 Protect your credentials

Keep your Card, PIN, CVV, device access codes and Wallet credentials secret and secure. Maintain updated devices and avoid untrusted software.

7.2 Suspected compromise

If your Card or credentials are lost, stolen or compromised, freeze the Card in-App immediately and contact support via the App.

7.3 Your responsibility

You are responsible for transactions you authorise and for any misuse resulting from you sharing or failing to protect your credentials, except as limited by law or issuer protections stated in Unlimit’s terms.

8. Unauthorised or Incorrect Transactions

8.1 Tell us promptly 

Notify us via the App without undue delay if you spot an unauthorised or incorrectly executed transaction.

8.2 Issuer processes

Refunds, chargebacks and error-correction for card scheme transactions follow Mastercard and Unlimit rules. See Unlimit’s terms for your statutory rights and time limits. 

9. Shortfalls and Reversals

9.1 Shortfall 

In the unlikely event a transaction settles when your Wallet has an insufficient balance (Shortfall), you must reimburse the Shortfall. You authorise us and Unlimit to collect it via Direct Debit from your Wallet. We may suspend the Card until recovered.

9.2 Chargebacks/reversals

Where a chargeback or reversal applies to your activity, you authorise collection via Direct Debit from your Wallet for the relevant amounts and associated scheme fees.

10. Cashback (if offered)

10.1 Earning

Cashback may be earned on eligible purchases with your Bleap Card (virtual or physical), except for transactions that fall under excluded categories. These include money transfers, financial services, gambling, tax payments, and other restricted transaction types. The following excluded Merchant Category Codes (MCCs) are not eligible for Cashback:

  • Cash disbursements & quasi-cash: 6010, 6011, 6050, 6051
  • Stored value card loads: 6529, 6530, 6540
  • Financial institutions & services: 6012, 8999
  • Securities & trading: 6211
  • Insurance & property payments: 6300, 6513
  • Savings bonds & payments: 6760, 6532, 6533
  • Curve cards

Gambling and Betting

  • Casinos, lotteries, & race betting: 7995, 7800, 7801, 7802

Government and Tax Payments

  • Taxes & fines: 9311, 9222, 9223
  • Court costs & bail payments: 9211
  • Government services & loans: 9399, 9402, 9405, 9411

Utilities and Essential Services

  • Electricity, gas, water, sanitation: 4900
  • Postal services: 9402

Retail and Miscellaneous

  • Gift & souvenir shops: 5947
  • Computer software & IT services: 5734, 7372
  • Professional & secretarial services: 7349
  • Charitable, religious, & political organizations: 8398, 8651, 8661
  • Hospitals: 8062

Additionally, purchases that are considered cash-like transactions (e.g., payments to financial service providers, gambling, gift cards, currency exchange, or similar transactions) do not qualify for cashback.

Bleap reserves the right to reverse any cashback if:

  • The transaction that earned the cashback is later refunded
  • The cashback was obtained fraudulently
  • You violated these terms to receive cashback

If we are unable to recover the cashback from your account, you will remain responsible for repaying the amount. We may attempt to collect the balance from a linked payment method or apply a set-off against other funds.

If necessary, we may take legal action to recover the amount owed, and you may be responsible for any associated costs.

10.2 Reversals 

We may reverse or claw back Cashback if:

  • the underlying transaction is refunded or reversed; 
  • earned fraudulently or in breach of these terms; or 
  • posted in error. 

You remain liable to repay any overpaid amount, which may be collected via Direct Debit from your Wallet.

11. Communications

11.1 How we contact you 

We may contact you in-App, by email, SMS or push notification using details you provide. Keep your contact details up-to-date.

11.2 Language

Our official language is English (UK). Additional languages may be available for communication or support only. If we provide translations, the English (UK) version controls in case of conflict.

12. Changes to these Card Terms

12.1 Notice of changes

We may change these Card Terms where lawful. Material changes will be notified with reasonable advance notice unless (i) required sooner by law/scheme rules, or (ii) necessary to address fraud or security risks.

12.2 If you disagree

If you do not agree with a change, you may stop using and freeze the Card. Continued use after the effective date constitutes acceptance.

13. Suspension, Freezing and Termination

13.1 Your controls

You may freeze the Card in-App at any time and may stop using it at will.

13.2 Our rights

We (and/or Unlimit) may suspend or terminate Card access immediately where lawful, including for:

  • breach of these Card Terms or Unlimit’s terms;
  • risk, fraud or security concerns;
  • legal, regulatory or sanctions reasons;
  • failure to complete checks;
  • non-payment of a Shortfall;
  • misuse.

14. Complaints and Dispute Resolution

Complaints are handled according to the Terms of Service or Bleap Finance Sp. z o.o. . If your complaint concerns issuer activities (e.g., scheme processing, chargebacks), we will liaise with Unlimit. You may also use Unlimit’s complaints channels set out in their terms.Where applicable, you may have the right to escalate to relevant supervisory or ADR bodies indicated in Unlimit’s terms and local law.

15. Liability

15.1 Reasonable care

We will provide the Card Services with reasonable care and skill. We are not liable for losses caused by

  • events outside our reasonable control;
  • the Mastercard network, acquirers, merchants, your connectivity or devices;
  • your breach of these terms or Unlimit’s terms;
  • prohibited or unlawful use.

15.2 Non-custodial funds

Because your Wallet is non-custodial, assets are not held by Bleap or Unlimit. If Bleap or Unlimit becomes insolvent, your Wallet assets remain under your control and are not part of either party’s estate.

15.3 No indirect loss

To the extent permitted by law, we are not liable for indirect or consequential loss, loss of profit or business, or loss from merchant refusal.

15.4 No exclusion for fraud 

Nothing excludes liability for death or personal injury caused by negligence, fraud, or any liability that cannot be excluded by law.

16. Data Protection

16.1 Privacy

We process your personal data to provide the Card Services as described in our privacy notice. Unlimit processes personal data as an issuer under its own privacy notice. See the App and Unlimit’s site for details.

Bleap is a controller for Card programme operations in the App; Unlimit is a separate controller for issuance/processing. We process data on the bases of contract performance, legal obligations (e.g., AML), and legitimate interests (fraud/security). Limited data is shared with Unlimit, Mastercard and service providers to operate the Card. See our Privacy Policy and Unlimit’s privacy notice for details, including international transfers, retention and your rights.

17. Third Parties and Assignment

17.1 No third-party rights

Except for Unlimit and any permitted transferee, no third party has rights under these Card Terms.

17.2 Transfer

We may assign or transfer our rights/obligations where lawful. We will notify you where required.

18. Law and Jurisdiction

These Card Terms are governed by the laws of the Republic of Poland. The courts of Warsaw, Poland have non-exclusive jurisdiction, without prejudice to any mandatory consumer protections in your country of residence. Issuer/e-money matters are governed by Unlimit’s terms, which may specify different governing law/jurisdiction.
