1.2 What these Terms do not cover

These Terms do not govern:
‍
 (a) fiat↔crypto on‑ramp, off‑ramp, or crypto↔crypto exchange services, which are provided by Bleap Finance Sp. z o.o. under separate terms; and
(b) the debit card, which is provided by Bleap Finance Sp. z o.o. and Unlimit under separate card terms and issuer/distributor disclosures.

If you use any of those services, you do so under their respective terms and not under these Terms.

1.3 Formation of contract and important warnings.

To activate the Bleap Wallet you must provide a valid email address and phone number, and expressly confirm that you accept these Terms and our Privacy Policy. By downloading, installing, accessing or using Bleap Wallet, you enter into a legally binding contract with us on these Terms. These Terms contain important provisions that may affect your legal rights, including disclaimers, limits on liability, and your indemnity in the event of misuse. Please read these Terms carefully before using the Bleap Wallet. If any part of these Terms is unacceptable to you, do not download, access or use Bleap Wallet.

1.4 Regulatory notice

The Bleap Wallet is non-custodial software. We do not hold, control or have access to your private keys, seed phrase, your key shares and wallet password, or digital assets; we cannot retrieve them or reverse any transaction you authorise. The Bleap Wallet does not, by itself, constitute custody or administration of crypto-assets for the purposes of Regulation (EU) 2023/1114 (MiCA), nor does it constitute payment services or e-money issuance. We do not provide investment, legal or tax advice, nor do we act as your broker, intermediary, custodian or fiduciary in relation to your use of the Bleap Wallet.

Services provided by Bleap LTD are not,  in themselves,  regulated products or services and we do not carry on a regulated activity in providing them. The Financial Conduct Authority does not supervise the services under these Terms, and Financial Services Compensation Scheme (FSCS) protection does not apply. Complaints about the Bleap Wallet under these Terms are not within the jurisdiction of the Financial Ombudsman Service (FOS). This does not affect any rights that cannot lawfully be excluded.

1.5 Consumer rights

Nothing in these Terms excludes or limits rights that cannot lawfully be excluded under applicable law.

1.6 Wallet functionality

The Bleap Wallet enables you to:

  • store and manage digital assets;
  • generate and view blockchain addresses and related information, and broadcast transactions to Supported Networks;
  • connect to and interact with Third-Party decentralised exchanges (“DEXs”), decentralised applications (“dApps”), and on-chain protocols (including staking protocols, liquidity pools, or similar);
  • initiate peer-to-peer transfers of digital assets to addresses on Supported Networks;
  • access any additional features we may make available from time to time.
  • create and use distributed cryptographic key shares via multi-party computation (MPC). A transaction is authorised by threshold signing between your device share and a Third-Party MPC co-signer. Bleap and the MPC co-signer do not hold nor can export your complete key. You can export this complete key at any time.

We do not operate or control DEXs, dApps, or on-chain protocols. These are
Third-Party Services and your use of them is entirely at your own risk.

1.7 Supported/unsupported assets

The Bleap Wallet may display or route transactions for certain assets or networks. We may add or remove support at any time. Do not attempt to view, deposit, or send unsupported assets or assets on the wrong network; doing so may result in permanent loss.

1.8 Non-custody and security of keys

The Bleap Wallet is self-custody software. We do not hold, safeguard, recover or have access to your seed phrase or private key, your key shares, your key shares, or your digital assets. We are not responsible for any loss of digital assets resulting from theft, loss, disclosure or mishandling of your seed phrase, private keys, your key shares, your wallet password or other security information outside our control. You are responsible for safeguarding your device share, wallet password and any recovery methods you enable.

1.9 No brokerage; no investment advice

We do not operate a trading venue, brokerage or investment service, and we do not arrange deals in investments. Any prices, market data, token pages, risk flags, warnings, rankings, research links or similar materials shown in the Bleap Wallet are provided for general information only. They are not investment advice, a personal recommendation, an invitation or inducement to buy or sell any token, or an assessment that a token is safe, suitable or appropriate for you. You are solely responsible for your investment decisions, including assessing your objectives, financial circumstances and risk tolerance. We do not monitor your activity for suitability or appropriateness. See also Clauses 8 and 10.

2. Changes

2.1 Changes to the Bleap Wallet

We may change or discontinue all or part of the Bleap Wallet or change or remove functionality from time to time. We will use reasonable efforts to provide advance notice of any discontinuation via in‑app notice, our website or other public channels, except where doing so would pose security, legal or operational risk.

2.2 Changes to these Terms

We may amend these Terms from time to time. We will use reasonable efforts to communicate material changes via in‑app notice, email or public channels. Your continued use of the Bleap Wallet after the effective date of changes constitutes acceptance of the amended Terms.

3. Your Responsibilities

3.1 Use of the Bleap Wallet

You are responsible for all activities that occur in connection with your use of the Bleap Wallet, whether or not authorised by you. You must ensure that your use is lawful and complies with these Terms. We are not responsible for unauthorised access to your devices or any Third-Party deception (for example, phishing or social-engineering) perpetrated against you. The Bleap Wallet is provided for personal use. You must not use it on behalf of a business or for professional advisory services.

3.2 Your security and back-up

You are solely responsible for configuring and using the Bleap Wallet securely, including: installing updates promptly; maintaining robust device and network security; and securely storing your wallet password, device share and any recovery methods you enable (for example email and cloud account access). Storing your wallet password in plain text or in insecure locations (including unmanaged cloud notes) increases the risk of compromise. You must never share your wallet password with us or any third party.

3.3 Credentials and authentication

Upon setup of the non-custodial wallet, private-key material is generated and split into two encrypted shares using Multi-Party Computation (MPC). Your mobile device creates and stores the first encrypted Share; Bleap’s MPC vendor (PortalHQ) creates and stores the second encrypted Share. Neither party learns the counterparty’s values, and the private key is never reconstructed on Bleap or PortalHQ systems.

You may, at any time, and from within the app, export the private-key material to a standard format for self-custody outside the MPC architecture. Export occurs locally on your device after authentication. Bleap and PortalHQ cannot export, view, or recover your private key, seed phrase, password, or shares. Following export, you are solely responsible for securing and using the exported key material.

Your login credentials are for your use only. You must not sell, transfer or sublicense them to any other person, and you are responsible for keeping them secure.

3.4 Support channels

We will never ask you for your seed phrase or private keys, your key shares or your wallet password. We do not provide support via SMS, WhatsApp, Telegram or social-media direct messages. We will never ask you to install remote-access software or to share one-time passcodes. Treat unsolicited contact as suspicious and verify via our published channels, e-mail and in-app support.

Malicious third parties may impersonate Bleap. You are responsible for verifying any communication and for any actions taken in response to phishing, social-engineering or other deception.

3.5 Sanctions and restricted persons

You must not use the Bleap Wallet if you are subject to sanctions, located in a comprehensively sanctioned jurisdiction, or otherwise prohibited by applicable export/sanctions laws. You must not use technologies intended to circumvent such restrictions (including certain VPN configurations).

3.6 Security

You must keep your devices, operating systems and the Bleap Wallet updated, protect access credentials, and secure your email/phone used for activation and recovery. If you suspect compromise of your device, credentials, seed phrase, private keys, key shares or your wallet password you must cease activity and take remedial action immediately. We will never ask for your seed phrase, private keys, key shares or wallet password.

3.7 Multi-Party Computation (MPC) keys, signatures and backups.

Non-custodial by design. The Bleap Wallet is a non-custodial wallet. At no time do Bleap or our MPC vendor (PortalHQ) have possession of, or unilateral control over, the private keys for your Supported Crypto-Assets. Only you can access and export this complete key.

  • How keys are created:

When you create a wallet, a private key is generated and split into two independent cryptographic shares (“Shares”). One Share (the “Device Share”) is created and stored on your device. The other Share is created and held by PortalHQ (the “PortalHQ Share”). Neither party learns or can derive the other Share, and a single, complete private key is never assembled on any Bleap or PortalHQ system and can only be accessed and exported in fully by you.
    ‍
  • How transactions are signed:

When you authorize a transaction, your device and PortalHQ perform a threshold-signature protocol. Each uses its Share to jointly compute a valid signature without reconstructing the private key. Possession of only one Share (including only the Device Share) is insufficient to sign transactions or access funds. If an attacker obtained only your device share, they could not sign transactions without the counter-share (and your authorisation).
    ‍
  • No custody; no unilateral control

Bleap does not hold your private key, seed phrase, or any raw key material, and cannot initiate transactions on your behalf. PortalHQ cannot move funds without your device’s participation and your explicit authorization. Neither Bleap nor PortalHQ can recover or recreate your private key, seed phrase, Shares, or wallet password for you.
    ‍
  • Your password and encryption:

At setup, a randomly generated wallet password is created and used to encrypt your key share locally. The encrypted material is stored in Bleap’s server. Bleap does not store or know this password. You may choose to store this password on your device, in your email, and/or in your cloud storage. Without the password, encrypted material is unusable.
    ‍
  • Key export
    ‍
You may export your wallet’s private key at any time via the app to a standard, interoperable format, for use outside Bleap’s MPC architecture. Export is performed locally on your device after you authenticate; Bleap and PortalHQ never see or receive your exported key. After export, you are solely responsible for secure storage and use of the exported key, and you acknowledge that moving assets using an exported key outside of MPC architecture may bypass MPC protections.
    ‍
  • MPC co-signer role
    ‍
PortalHQ acts as an independent MPC co-signer and is a Third-Party Service under Clause 8. Its availability and security are outside our control.
    ‍
  • Service dependencies and security controls
    ‍
The MPC protocol relies on availability of both your Device Share and the PortalHQ service. Bleap may implement rate-limits, risk checks, and additional authentication to prevent fraud; these controls do not grant Bleap custody or signing ability and cannot authorize transactions without your action, are made only for your security.
    ‍
  • Backups you choose to enable
    ‍
Any backups you enable (including device, email or cloud storage) are outside our control and at your own risk. Do not store passwords in plain text.

4. Fees and Payment

4.1 Network fees

A blockchain network (gas) fee may apply when transferring crypto-assets. This fee depends on network congestion and operational costs at the time of the transaction and is not set or retained by us when you transact directly on-chain. It will always be shown to you as a separate line item (“Network fee”).

4.2 Bleap Wallet fees

We do not charge you for downloading or using the standard functions of the Bleap Wallet. If we introduce optional premium features, fees will be disclosed clearly before use.

4.3 Third-party fees

Third-Party Services (such as dApps, staking protocols, bridges, or exchanges you connect to) may charge their own fees. We are not responsible for these.

4.4 Taxes

You are responsible for determining and paying any taxes that apply to your transactions and for complying with your tax reporting obligations.

5. Temporary Suspension

5.1 Grounds for suspension

We may suspend or limit your access to the Bleap Wallet (or any part of it) immediately if we reasonably determine that:To utilize the services offered by Bleap, you'll need to provide specific information to facilitate your transaction. Here's an overview of how our services work:

  • your use poses a security risk or could adversely impact users, systems or third parties.
  • you are in material breach of these Terms.
  • we are required to do so by law or a competent authority
  • continuing to provide access would create undue legal or operational risk

5.2 Effect of suspension

During any suspension, you remain responsible for any applicable fees. We are not liable for losses you may suffer as a result of a reasonable suspension under this Clause 5.

6. Term and Termination

6.1 Term

These Terms commence on the earlier of your first download, installation or use of the Bleap Wallet and continue until terminated in accordance with this Clause 6.

6.2 Termination for convenience

You may terminate these Terms at any time by ceasing all use of and uninstalling the Bleap Wallet.

6.3 Termination for cause

Either party may terminate these Terms with immediate effect if the other party commits a material breach that is irremediable or (if remediable) fails to remedy it within 30 days after notice. We may also terminate immediately if continued provision would cause us to violate law or Third-Party obligations. We may suspend or terminate access where we reasonably believe it necessary to protect our reputation or prevent fraud.

6.4 Effect of termination

Upon termination: (a) your right to use the Bleap Wallet ends; and (b) Clauses that by their nature should survive (Clauses 1.4, 1.7, 2.2, 3, 4, 7, 8, 9, 10 (including 10.4), 11, 12.1–12.11, 13, 14 and Annex A) will continue in force and survive termination.

6.5 Initiation and cancellation

By creating or activating the Bleap Wallet you request immediate performance of digital content/services. You expressly acknowledge that once performance begins you lose any statutory right to cancel the service (where such a right would otherwise apply). You may stop using and uninstall the Bleap Wallet at any time. These Terms do not affect rights that cannot lawfully be excluded.

8. Third-Party Services and Content

8.1 Independence

Third-Party Services (including dApps, DEXs, bridges, RPC providers, oracles and price feeds) are not operated by us and are subject to their own terms and privacy notices. We do not endorse, monitor or control them. This includes the MPC co-signer operated by PortalHQ, which participates in threshold signing but does not hold your digital assets.

8.2 Your risk

You access and use Third-Party Services at your own risk. We are not responsible for losses arising from your reliance on, or interactions with, Third-Party Services, including misleading, inaccurate, offensive or unlawful Third-Party content.

8.3 Changes to Third-Party services

Third-Party Services are outside our control. We may change, suspend, remove, disable, or impose limits on access to any Third-Party Service at any time where reasonable (including for legal, security or operational reasons). We do not guarantee, endorse or recommend any Third-Party Service, and we are not responsible for Third-Party content that is misleading, incomplete, erroneous, offensive or unlawful. If the availability of the PortalHQ MPC co-signer is degraded or suspended, transaction signing may be delayed or unavailable.

9. Disclaimers and Risk

9.1 Disclaimer

The Bleap Wallet is provided “as is” and “as available”. To the maximum extent permitted by law, we make no warranties, representations or undertakings of any kind, whether express, implied, statutory or otherwise, including any implied warranties of merchantability, satisfactory quality, fitness for a particular purpose, non-infringement, quiet enjoyment, error-free or uninterrupted operation, or that content will be secure or not otherwise lost or altered.

9.2 Risks

This policy states general risks, and does not substitute the reading and acceptance of the Risk Disclosure policy available here. You acknowledge that:

  • Blockchain networks (including consensus rules, validators/miners, protocol upgrades and transaction ordering) are outside our control and present inherent risks
  • Blockchain transactions are irreversible once broadcast. You are solely responsible for (i) verifying recipient addresses and network selection, (ii) ensuring you control the sending wallet, and (iii) protecting your devices, seed phrase and private keys, your key shares and your wallet password. We cannot block, reverse, refund or recover transfers, including where you acted under fraud, phishing, social-engineering, or error.
  • Storing a seed phrase, key shares or your wallet password digitally (including on a personal device or cloud storage) increases the risk of loss or theft
  • Approvals/permissions granted by cryptographic signatures, including token “spending approvals/allowances”, and interactions with smart contracts can expose you to loss (for example, malicious smart contracts or phishing prompts or unlimited allowances you forget to revoke).
  • Digital assets are subject to market volatility, software and cybersecurity risks, and adverse legal or regulatory changes. Network cost and speed are variable and outside our control
  • If you use the Bleap Wallet to interact with decentralised finance or staking protocols, you do so entirely at your own risk. We do not operate or control those protocols and we do not guarantee their security, performance, rewards or continued availability. You are solely responsible for assessing whether to participate in any staking or other protocol-based activity
  • If you use the Bleap Wallet to send digital assets directly to another user or third party, that transaction is a peer-to-peer transfer on the relevant Blockchain. We are not involved in the transaction, cannot block or reverse it, and cannot verify the identity or legitimacy of the recipient. You are solely responsible for ensuring that any address you send to is correct and that the counterparty is legitimate

Protocol upgrades, forks or client bugs may introduce security vulnerabilities or loss of functionality. Approvals and permissions you grant by cryptographic signature (including to smart contracts) are at your own risk. Bleap does not operate blockchain protocols, nor control Third-Party smart contracts.

You are solely responsible for verifying the legitimacy and safety of any Third-Party applications or smart contracts you interact with.

10. Limitation of Liability

  • Losses arising from or relating to Third-Party Services (including dApps, DEXs, bridges, RPC providers, oracles, price feeds and on-chain protocols), including their availability, security, accuracy or behaviour
  • Losses caused by blockchain network conditions or behaviours (including mempool/transaction ordering, MEV, front-running, slippage, forks, re-orgs, protocol upgrades, validator/miner actions, staking “slashing”, gas price spikes, congestion, node or RPC outages)
  • Losses resulting from sanctions screening, compliance holds, your failure to complete required checks, or your breach of law or these Terms
  • Losses resulting from sending to an incorrect or incompatible address, use of the wrong network, unsupported assets, misconfigured approvals or permissions, or other user error
  • Losses caused by phishing, social-engineering, malware, viruses, spyware, trojans, worms or other harmful code, or by the compromise of your device, wallet password, device share, seed phrase, private keys, email or phone number.

10.2 No responsibility for certain events

Without limiting Clause 10.1, we disclaim liability for losses arising from:

  • Unknown or undiscovered defects in blockchain protocols or smart contracts, or changes to those protocols (including upgrades or parameter changes)
  • Market volatility, thin or unavailable liquidity, currency fluctuation or price inaccuracy
  • The accuracy, ratings, labels or warnings shown in the app, completeness or timeliness of Third-Party content or data including prices, analytics, ratings, labels or warnings shown in the app, or token information)
  • Your participation in staking, liquidity provision, or any other on-chain strategy, including the (non-)payment of rewards or changes to reward logic
  • Irreversible nature of blockchain transactions and the absence of any ability to cancel, reverse or recall transactions once broadcast.

10.3 Non-excludable liability

Nothing in these Terms excludes or limits liability for fraud, fraudulent misrepresentation, or death or personal injury caused by negligence, or any other liability that cannot lawfully be excluded or limited.

10.4 Indemnity

You agree to indemnify, defend and hold harmless Bleap LTD, its Affiliates, and their respective directors, officers, employees, contractors and agents from and against any claims, demands, proceedings, losses, liabilities, damages, costs and expenses (including reasonable legal fees) arising out of or in connection with:

  • Your breach of these Terms;
